Japanese OEMs are committed to providing Takata with valuable housing and cash improvements during civil rehabilitation, and the company is working with the client group to reach an agreement to do so on a global basis. Takata intends to use the Civil Rehabilitation Act and Chapter 11 processes to continue to cooperate with the client group and KSS to conclude and implement restructuring support agreements (an „RSA” each), which would include extensive restructuring conditions. The RSA reflects the commitment of the client group and KSS to restructuring transactions to be carried out pursuant to Chapter 11 Plan of Reorganization (the „Plan”), which would be subject to Delaware Court approval, as well as the transfer of business to be carried out by the Tokyo court. The transaction with KSS would also be subject to approval by the Tokyo Court and the Delaware Court, as well as a number of other conditions, including regulatory and other third-party approvals. On April 27, 2017, the U.S. Department of Justice appointed John D. Buretta, Cravath`s partner, as an independent global monitor for Takata Corporation, based in Japan. John`s selection as an independent monitor follows Tacha`s admission of guilt with the DOJ over fraudulent conduct in the sale of defective airbags, among which the company agreed to improve its overall corporate compliance program under the supervision of a monitor appointed by DOJ. In December 2015, John was selected by the U.S. Department of Transportation`s National Highway Traffic Safety Administration as an independent monitor for Takata and the Coordinated Remedy Program, as part of a settlement agreement with oversight control of TK Holdings, Inc., Takata`s U.S.
subsidiary, and many automakers affected by the Takata air recall. NHTSA described the recall as the largest and most complex recall in U.S. history. John continues to monitor TK Holdings` safety and compliance programs and the many automakers affected by the Takata recall. KSS has essentially completed its due diligence and Takata and KSS are working to reach a final agreement in the coming weeks, with the closing of the transactions expected in the first quarter of 2018.
